Registered Agent in Kentucky (2026): Rules, Statute & Fees
A Kentucky LLC cannot operate without a registered agent on file. The obligation attaches at formation, runs continuously, and is spelled out in KRS 14A.4-010, the same section your Articles of Organization must satisfy when naming the initial agent.
The job itself
Think of the registered agent as the company's fixed legal doorway. Court papers, state correspondence, and compliance notices all arrive through the registered office, and the person or company named there has to be present during normal business hours to receive them. That office address also sits in the public record, where anyone can search it.
Who Kentucky allows to serve
KRS 14A.4-010 recognizes two kinds of agents:
- A Kentucky resident individual whose business address is identical with the registered office
- A company, domestic or foreign, qualified to transact business in the Commonwealth, again with a business address identical with the registered office
Consent is mandatory: the agent either signs the appointing filing or hands the state a written acceptance. The registered office must be a physical Kentucky address (it can double as one of the company's own business locations), and a PO box by itself will not do.

A quirk worth knowing: the state's own PDF file name spells it "Statment," so the link above is deliberately typed the way Kentucky hosts it. Also remember the annual report cannot record an agent change.
